Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 244 BidStrike platform, website, and related services (the "Services"). In these Terms, "244 BidStrike," "we," "us," and "our" refer to 244 BidStrike, a 244 Holdings company. Please read these Terms carefully. By creating an account or using the Services, you agree to be bound by these Terms.

1.Agreement to Terms

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Services.

2.Definitions

• "Account" — the account you create to access the Services.
• "Customer Data" — content and data you submit to the Services, including proposals, documents, and company information.
• "Subscription" — a paid plan providing access to the Services for a defined term.
• "Users" — individuals authorized by you to access the Services under your Account.

3.Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use in connection with government contracting.

4.Accounts & Registration

You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Notify us immediately of any unauthorized use. You are responsible for your Users' compliance with these Terms.

5.Subscriptions, Billing & Renewal

• Plans & fees. Access to the Services requires a paid Subscription. Current pricing (for example, the 244 BidStrike AutoPilot monthly plan under a 12-month contract, and the AutoPilot+ annual plan paid upfront) is described at checkout and on our Pricing page. All fees are stated in U.S. dollars.
• Contract term. Monthly plans are billed monthly under a 12-month minimum commitment unless stated otherwise. Annual plans are billed in full at the start of the term.
• Payment. You authorize us and our payment processor to charge your payment method for all fees when due. If a payment fails, we may suspend the Services until payment is resolved.
• Auto-renewal. Unless you cancel before the end of the then-current term, your Subscription automatically renews for a successive term of equal length at the then-current rates. You may cancel renewal through your account or by contacting us before the renewal date.
• Taxes. Fees are exclusive of taxes; you are responsible for all applicable sales, use, and similar taxes, excluding taxes on our net income.
• Price changes. We may change fees for future terms with prior notice; changes do not affect the current paid term.

6.Refunds

Except where required by law or expressly stated in a written order, fees are non-refundable and payments for partial periods, unused features, or early cancellation are not refunded. Committed contract terms remain payable for their full duration.

7.License & Permitted Use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes during your Subscription term.

8.Acceptable Use

You agree not to, and not to permit others to:

• Copy, modify, reverse engineer, decompile, or create derivative works of the Services, except as permitted by law.
• Resell, sublicense, or provide the Services to third parties except as expressly authorized (for example, under a written partner or reseller agreement).
• Access the Services to build a competing product or scrape or extract data other than your own Customer Data.
• Upload malware, interfere with or disrupt the Services, or attempt to gain unauthorized access.
• Use the Services in violation of any law, regulation, or third-party right, or to submit false or fraudulent information to any government system.

10.Customer Data & Ownership

As between you and 244 BidStrike, you retain all rights in your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Services and as directed by you. You represent that you have the rights necessary to submit Customer Data and that it does not violate any law or third-party right. We handle personal data within Customer Data in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement.

11.Intellectual Property

The Services, including all software, features, designs, text, and the 244 BidStrike name and logo, are owned by 244 BidStrike and its licensors and are protected by intellectual-property laws. Except for the limited license granted to you, no rights are transferred. Feedback you provide may be used by us without restriction or obligation to you.

12.Third-Party & Government Data

The Services rely on and display data from third-party and government sources (such as SAM.gov). We do not control and are not responsible for the accuracy, availability, or timeliness of such data, and your use of it is subject to the terms of the originating source.

13.Confidentiality

Each party may access the other's confidential information in connection with the Services. The receiving party will protect such information using reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors with a need to know who are bound by confidentiality obligations. This section does not apply to information that is public, independently developed, or lawfully obtained without restriction.

14.Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR OUTCOME, INCLUDING WINNING ANY CONTRACT OR ACHIEVING ANY COMPLIANCE RESULT.

15.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 244 BIDSTRIKE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16.Indemnification

You will defend, indemnify, and hold harmless 244 BidStrike and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Services, or your breach of these Terms or violation of law or third-party rights.

17.Term, Suspension & Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to us or others. You may stop using the Services at any time, subject to any committed contract term. Upon termination, your right to use the Services ends; we may delete Customer Data after a reasonable period unless retention is legally required. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

18.Changes to the Services

We may modify, enhance, or discontinue features of the Services at any time. We will use reasonable efforts to notify you of material adverse changes to core functionality of a paid plan during its term.

19.Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. Subject to the arbitration provision below, the state and federal courts located in Florida will have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to their jurisdiction and venue.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us; we will attempt to resolve it within 60 days.

Arbitration & class-action waiver. Except for claims for injunctive relief or intellectual-property infringement, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis under the rules of a recognized arbitration body. You and 244 BidStrike waive any right to a jury trial and to participate in a class or representative action. This provision is governed by the Federal Arbitration Act.

20.Force Majeure

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, government actions, or failures of third-party or government systems.

21.General Terms

• Entire agreement. These Terms, the Privacy Policy, and any order form constitute the entire agreement between you and us and supersede prior agreements on the subject.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
• No waiver. Our failure to enforce any right is not a waiver of it.
• Notices. We may provide notices to you by email or through the Services; you may contact us as set out below.
• Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.

22.SMS & Text Messaging Program

Program description & use cases. 244 BidStrike operates an SMS/text messaging program that, if you opt in, sends messages related to your account and use of the Services. Messaging use cases include account and identity verification, service and transactional notifications, task and appointment reminders, opportunity and proposal alerts, customer-support responses, and — where you have separately consented — promotional and informational updates about 244 BidStrike.

Consent & frequency. By providing your mobile number and opting in, you agree to receive recurring automated text messages at that number. Message frequency varies based on your activity and the messages you request. Consent to receive marketing text messages is not a condition of purchase.

Message & data rates. Message and data rates may apply to each message you send or receive, according to the rate plan you have with your wireless carrier. You are solely responsible for any such charges.

Opt-out & help. You can cancel the SMS service at any time by texting STOP to the number from which you received messages. After you send STOP, we will send a one-time confirmation that you have been unsubscribed, and you will no longer receive SMS messages from that program. For help, text HELP or contact us using the details in Section 23.

Rejoining. If you opt out and later wish to resume messages, you can rejoin at any time by opting in again through one of our web forms, or by replying START or UNSTOP to the program number, at which point recurring messages will resume.

Carrier liability. Wireless carriers are not liable for delayed or undelivered messages. Message delivery depends on effective transmission by your wireless carrier and is not guaranteed. Neither 244 BidStrike nor any mobile carrier is responsible for messages that are delayed, misdirected, or not delivered.

Compliance. 244 BidStrike operates its messaging program in accordance with applicable law and telecommunications industry standards, including the Telephone Consumer Protection Act (TCPA), CTIA messaging guidelines, and carrier requirements. We send messages only to recipients who have opted in, and we honor all opt-out requests.

Your use of the SMS program is also governed by our Privacy Policy, which explains how we handle mobile information and confirms that we do not share SMS opt-in data with third parties or affiliates for their marketing.

23.Contact Us
